These Terms govern use of ShorexFlow, operated by Shore Excursions International Inc. (Florida, USA) ("ShorexFlow", "we"), by the customer identified in an order or Letter of Intent ("you").
ShorexFlow is a cloud platform for planning and running cruise-port tour operations — tours, routes, venues, vehicles, guides, schedules and day-of-operation views, with optional AI assistance and multi-port workspaces.
You are responsible for your users and for keeping their credentials secure. You decide who on your team has access and at what level. Your field team (guides, drivers, pier staff) may be given access without additional charge.
You agree not to misuse the service, attempt to breach its security, resell it without agreement, or enter data you are not permitted to process.
Consistent with the platform's design, you agree not to store cruise-passenger personal data in the system — in particular dates of birth, financial information and identity documents, which the platform never collects. This is subject to the limited exceptions built into specific features, where recording a detail is operationally necessary: an incident or no-return ("passenger abandonment") report records a passenger's name and cabin number so the individual can be identified for the ship, and the optional guest-feedback survey stores a guest's chosen nickname. Use of those features for their intended purpose is permitted under these Terms and is described in our Privacy Policy.
Fees, tiers, per-port pricing, onboarding and any off-season standby rate are set out in your order or Letter of Intent. Unless stated there, subscription fees begin when you commence live operations. Onboarding fees are payable as set out in your order.
We work to keep the service continuously available and run it on infrastructure operating at high availability (Supabase, Vercel). We do not currently offer a separate contractual uptime guarantee. Our team responds to support requests within 5 business hours during working hours.
ShorexFlow, its software and design are our property and protected as trade secrets and other IP. These Terms grant you a right to use the service, not to own or copy it.
Each party will protect the other's confidential information. Your operational data is treated as your confidential information.
We provide the service with reasonable skill and care. Except as expressly stated, the service is provided "as is" without further warranties to the maximum extent permitted by law.
Except for the confidentiality and no-derivative-use commitments — including the $25,000 liquidated-damages amount, which applies only to our willful use of your data for a purpose that competes with your business and is uncapped — each party's total liability is limited to the fees paid in the 12 months preceding the claim, or USD 1,000, whichever is greater.
For the avoidance of doubt, unauthorised access to the service by a third party does not trigger the liquidated-damages amount. Our obligations in that event are those set out in Section 5 and in any applicable Data Processing Addendum. Equally, inadvertent access, download or copying by us that is not used for a competing purpose, and is deleted or remedied promptly on discovery, does not trigger it.
Neither party is liable for indirect or consequential loss.
Either party may terminate as set out in the order. On termination you may export your data; we will delete it on request.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Where a Data Processing Addendum incorporating Standard Contractual Clauses applies, the choice-of-law and choice-of-forum provisions of those Clauses control to the extent of any conflict.
